1. ACCEPTANCE OF TERMS
By accessing and using this website and platform (the "Service") provided by PAX ERP, LLC ("PAX ERP," "we," "us," "our," or "Company"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use the Service. Your continued use of the Service constitutes acceptance of these terms.
2. SERVICE DESCRIPTION
PAX ERP provides a Software-as-a-Service (SaaS) platform offering Customer Relationship Management (CRM) and Enterprise Resource Planning (ERP) functionality. The Service is available to users in the United States only. Access from other jurisdictions is prohibited.
Service Tiers:
- Free Trial: Full ERP + CRM access for 14 days at no cost
- Paid Tier: Full ERP + CRM functionality available via paid monthly or annual subscription
3. USER ACCOUNTS & REGISTRATION
3.1 Age Requirements
By creating an account, you represent that you are at least 18 years of age. The Service is not available to individuals under 18.
3.2 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3.3 Accurate Information
You agree to provide accurate, current, and complete information during registration and to update such information as needed. Providing false information is prohibited and may result in account termination.
4. BILLING & PAYMENT TERMS
4.1 Free Trial
No payment is required during the 14-day free trial. Trial accounts expire automatically at the end of the 14-day period. You will receive a notification email before your trial expires. To continue using the Service after the trial period, you must subscribe to a paid plan.
4.2 Paid Tier Billing
- Subscription Model: Monthly or annual recurring subscription. Annual subscriptions are offered at a discounted rate compared to the monthly equivalent.
- Billing Date: Monthly subscriptions renew on the same date each month as your signup anniversary date. Annual subscriptions renew on the same date each year as your signup anniversary date.
- Auto-Renewal: Your subscription will automatically renew at the end of each billing period (monthly or annual, depending on the plan you selected) unless cancelled by you in accordance with Section 5. For annual subscriptions, we will send a renewal reminder by email at least thirty (30) days before each automatic renewal.
- Billing Continuation: Your subscription continues to bill on each renewal date until cancelled, regardless of usage or activity level. You remain responsible for all charges until you cancel through your account settings.
4.3 Accepted Payment Methods
We accept payment via credit card and other methods supported by our payment processor. We use Stripe to process payments securely. Your payment information is processed by Stripe in compliance with their terms of service.
4.4 Payment Processor Terms
Payment processing is handled by Stripe. We retain the right to issue refunds, credits, or pro-rata adjustments at our discretion in accordance with Section 5 of these Terms.
4.5 Billing Disputes
All charges are non-refundable except as expressly provided in Section 5 (Refunds for Paid Tier Cancellation). If you dispute a charge, you must contact us within thirty (30) days of the charge appearing on your account. We will investigate and resolve legitimate disputes fairly.
5. CANCELLATION & DATA HANDLING
5.1 Free Trial Expiration
Trial Expiration: Your free trial account expires automatically after fourteen (14) days. A courtesy notification email will be sent before expiration.
Self-Service Export: While your account is active, you may export your account data tables at any time directly from your account settings. We recommend exporting your data before your trial expires.
Data Provision Upon Request: Upon cancellation, you may request a complete export of your account data (including all CRM records, customer information, and associated business data) by contacting support@paxerp.com within sixty (60) days of cancellation. We will provide the export within ten (10) business days of a verified request.
Data Retention & Account Recovery: Your data will be retained in a recoverable state for sixty (60) days following cancellation. To recover your account within this sixty (60) day period, you must contact our support team at support@paxerp.com and request account reactivation. Upon verification of your identity and ownership of the email address associated with your account, we will reactivate your account and restore all data within one (1) business day. You may also request permanent deletion of your data at any time during the retention period. After sixty (60) days, your account and all associated data will be permanently deleted and cannot be recovered.
5.2 Paid Tier Cancellation
Termination Events: We may suspend or terminate your account at our discretion, including (but not limited to) for any of the following:
- Violation of the Acceptable Use Policy (Section 6)
- Other material breach of these Terms and Conditions
- Non-payment or failure of your payment method
- Conduct we determine to be harmful to the Service, other users, or third parties
- At your request, processed through your account settings
Notice: We may provide notice prior to termination at our discretion. For severe violations (including but not limited to fraud, unauthorized access, or illegal activity), termination is immediate and without prior notice. During any notice period, we may limit your access to the Service.
Refunds: If your account is cancelled mid-cycle due to a violation or our decision (not your request), you are eligible for a pro-rata refund of the unused portion of your billing period. The refund will be calculated from the cancellation date through the end of the billing month and will be credited to your original payment method within 5-7 business days.
Your Cancellation: You may cancel your paid subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period: your subscription will not renew, and you retain access through the end of the period you have already paid for. No refund is provided for unused portions of the current billing period.
Self-Service Export: While your account is active, you may export your account data tables at any time directly from your account settings. We recommend exporting your data before cancelling.
Data Provision Upon Request: Upon cancellation (whether initiated by you or by PAX ERP), you may request a complete export of your account data — including CRM records, ERP data, customer information, financial records, and any other business data associated with your account — by contacting support@paxerp.com within sixty (60) days of cancellation. We will provide the export within ten (10) business days of a verified request.
Data Retention & Account Recovery: Your data will be retained in a recoverable state for sixty (60) days following cancellation. To recover your account and restore all data within this sixty (60) day period, you must contact our support team at support@paxerp.com and request account reactivation. Upon verification of your identity and ownership of the email address associated with your account, we will reactivate your account and restore all data within one (1) business day. You may also request permanent deletion of your data at any time during the retention period. After sixty (60) days, your account and all associated data will be permanently deleted and cannot be recovered.
6. ACCEPTABLE USE POLICY
You agree not to use the Service for any illegal or prohibited purpose. Prohibited activities include, but are not limited to:
6.1 Prohibited Activities
- Abuse & Malicious Activity: Engaging in unusually high volumes of system activity (exceeding rate limits or volume thresholds we may establish from time to time), unusual transaction patterns, attempting to circumvent security measures, or any activity indicating hacking attempts
- Fraud: Misrepresenting your identity, making false claims, or engaging in deceptive practices
- Unauthorized Access: Attempting to access accounts or systems without authorization; reverse engineering, decompiling, or attempting to bypass security measures
- Resource Abuse: Using the Service for cryptocurrency mining, Distributed Denial of Service (DoS) attacks, web scraping, or other activities that consume excessive resources
- Intellectual Property Violations: Infringing copyrights, trademarks, patents, or other IP rights
- Harassment: Threatening, harassing, defaming, or otherwise abusing other users or third parties
- Illegal Activity: Using the Service in connection with any illegal activities or to promote illegal conduct
6.2 Enforcement & Discretion
We reserve the right to investigate suspected violations and take appropriate action, which may include:
- Issuing a warning
- Limiting or suspending your account
- Terminating your account immediately
We exercise sole discretion in determining whether conduct violates this policy and the appropriate enforcement response. Generally, minor violations may result in warnings, while serious violations (fraud, hacking attempts, illegal activity) may result in immediate account termination without notice.
6.3 Cooperation with Law Enforcement
We will respond to valid legal process (including subpoenas, court orders, and search warrants) from law enforcement and regulatory agencies. Where not legally prohibited, we will notify you before disclosure so you have the opportunity to object, and we may challenge overbroad or improperly issued requests. We may also disclose information without notice when we reasonably believe immediate disclosure is necessary to prevent imminent harm to a person.
7. LIMITATION OF LIABILITY & WARRANTY DISCLAIMERS
7.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. USE OF THE SERVICE IS AT YOUR SOLE RISK.
7.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.
- For paid tier users, our total liability for any claim arising from the Service is limited to the amount you paid us in the twelve (12) months preceding the claim.
- For free trial users, our total liability is zero dollars ($0), as no payment was made.
Exceptions: This limitation of liability does not apply to claims arising from our gross negligence, fraud, or willful misconduct. This limitation also does not limit our liability for personal injury claims to the extent such liability cannot be limited by law.
7.3 User Assumption of Risk
You assume all risks associated with your use of the Service. You acknowledge that data loss, service interruption, and security issues may occur despite reasonable precautions.
7.4 Service Availability
PAX ERP aims to maintain reliable and consistent service. However, we do not guarantee any specific uptime percentage or Service Level Agreement (SLA). Service interruptions, scheduled maintenance, and technical issues may occur, and you acknowledge these inherent risks of cloud-based services.
For our liability framework governing service unavailability and the remedies available to you, see Section 7.2 (Limitation of Liability) and Section 7.3 (User Assumption of Risk).
8. ANALYTICS & ADVERTISING
We collect and use analytics data to improve the Service. This includes event tracking, click tracking, dwell time, session information, and approximate (city-level) location data. We use Google Analytics 4 and Google Search Console to monitor and analyze user behavior and service performance.
We use Microsoft Clarity (Microsoft Corporation) to capture behavioral metrics, heatmaps, and session replays of how visitors interact with our website. This data helps us understand and improve the Service. For details on Microsoft's data practices, see the Microsoft Privacy Statement.
We also use the Meta Pixel (Meta Platforms, Inc.) and the Microsoft Advertising UET tag (Microsoft Corporation) to measure ad performance and to show you relevant ads for our Service on Facebook, Instagram, Bing, and Microsoft's advertising network.
No Sale of Personal Data: We do not sell your personal information for monetary consideration. The data we share with our advertising partners (such as cookie identifiers, page views, and conversion events) constitutes "sharing" for cross-context behavioral advertising under the California Consumer Privacy Act (CCPA/CPRA) and other applicable U.S. state privacy laws. Residents of states with comprehensive privacy laws may exercise their opt-out and other rights using the controls described in our Privacy Policy.

9. INTELLECTUAL PROPERTY & USER DATA OWNERSHIP
9.1 PAX ERP Intellectual Property
All content, features, and functionality of the Service (including but not limited to text, graphics, logos, and software) are the exclusive property of PAX ERP or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal or business purposes. You may not reproduce, modify, distribute, or otherwise exploit the Service without prior written permission.
9.2 Your Data Ownership
All data you enter into PAX ERP (including CRM records, customer information, inventory data, financial records, production planning details, and any other business data) belongs entirely to you.
We do not own, claim rights to, or resell any of your business data. You own all data you provide to PAX ERP. PAX ERP manages your data - maintaining, backing up, and providing recovery capabilities-but does not own or claim any rights to your business data. You retain ownership; we provide stewardship of its storage and accessibility. We use your data solely to provide the Service and in accordance with our Privacy Policy. While your account is active, you may export your data tables directly from your account settings at any time. Upon cancellation, you may request a complete data export and recover your account during the retention period described in Section 5.
10. SECURITY & DATA PROTECTION
We maintain industry-standard administrative, technical, and physical safeguards designed to protect your data against unauthorized access, alteration, disclosure, or destruction. In the event of a confirmed security incident affecting your data, we will notify you without undue delay in accordance with applicable law.
11. THIRD-PARTY SERVICES
The Service integrates with third-party providers including Stripe (payment processing), Google Analytics and Google Search Console (analytics), Microsoft Clarity (behavioral analytics and session replay), and Meta and Microsoft (advertising). Your use of these services is governed by their respective terms of service. We are not responsible for third-party conduct or policies.
12. MODIFICATION OF TERMS
We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated via email or a prominent notice on the website. Your continued use of the Service after modifications constitutes acceptance of the modified terms.
13. TERMINATION & SUSPENSION
The grounds, notice procedures, and refund mechanics for termination are described in Section 5 (Cancellation & Data Handling). We may also suspend access to the Service immediately while investigating suspected violations under Section 6 (Acceptable Use Policy) for a reasonable period not to exceed thirty (30) days, after which we will either restore access or terminate the account in accordance with Section 5.
Upon termination, your right to use the Service ceases. Data export, retention, and recovery rights are governed by Section 5.
14. INDEMNIFICATION
You agree to indemnify and hold harmless PAX ERP, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:
- Your violation of these Terms and Conditions
- Your violation of applicable laws
- Your use of the Service
- Content you provide or generate
- Your infringement of third-party rights
15. FORCE MAJEURE
PAX ERP shall not be held liable for failure to perform its obligations under these Terms due to causes beyond reasonable control, including but not limited to natural disasters, war, government action, infrastructure failures, cyberattacks, or other unforeseen circumstances. We will make reasonable efforts to notify users of extended service unavailability and will consider appropriate remedies on a case-by-case basis.
16. GOVERNING LAW & DISPUTE RESOLUTION
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Michigan, without regard to conflict of law principles.
Binding Arbitration: Any dispute, claim, cause of action, or controversy arising from or relating to these Terms and Conditions, your use of the Service, your account, or our relationship (a "Dispute") shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where applicable, Consumer Arbitration Rules. The arbitration shall be conducted in Detroit, Michigan, or by video or telephone at the arbitrator's discretion. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver: YOU AND PAX ERP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
Jury Trial Waiver: TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND PAX ERP EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO TRIAL BY JURY.
Exceptions: Either party may (a) bring an individual action in small claims court for qualifying disputes within that court's jurisdictional limits, and (b) seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent unauthorized access to the Service.
Arbitration Opt-Out: You may opt out of the binding arbitration and class action waiver provisions above by sending written notice to support@paxerp.com within thirty (30) days of first accepting these Terms. Your notice must include your name, account email address, and a clear statement of your intent to opt out. Opting out does not affect any other provision of these Terms.
17. SEVERABILITY
If any provision of these Terms and Conditions is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
18. GENERAL PROVISIONS
Entire Agreement. These Terms and Conditions, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PAX ERP regarding your use of the Service and supersede all prior or contemporaneous understandings, communications, or agreements, whether written or oral.
No Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of PAX ERP.
Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. Any attempted assignment without such consent is void. PAX ERP may freely assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law, without notice or consent.
Headings. Section headings are for convenience only and have no legal or contractual effect.
Survival. The provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 7 (Limitation of Liability & Warranty Disclaimers), 9 (Intellectual Property & User Data Ownership), 10 (Security & Data Protection), 14 (Indemnification), 16 (Governing Law & Dispute Resolution), 17 (Severability), and this Section 18.
