1. ACCEPTANCE OF TERMS

By accessing and using this website and platform (the "Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use the Service. Your continued use of the Service constitutes acceptance of these terms.

2. SERVICE DESCRIPTION

PAX ERP provides a freemium Software-as-a-Service (SaaS) platform offering Customer Relationship Management (CRM) and Enterprise Resource Planning (ERP) functionality. The Service is available to users in the United States and Canada only. Access from other jurisdictions is prohibited.

Service Tiers:

  • Free Tier: Basic CRM functionality at no cost
  • Paid Tier: Full CRM + ERP functionality available via paid monthly subscription

3. USER ACCOUNTS & REGISTRATION

3.1 Age Requirements

By creating an account, you represent that you are at least 18 years of age. Users under 18 must have a parent or legal guardian establish and manage the account.

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as needed. Providing false information is prohibited and may result in account termination.

4. BILLING & PAYMENT TERMS

4.1 Free Tier Billing

No payment is required for the free tier. Accounts are automatically cancelled after fifty (50) days of continuous inactivity (no login or system activity). You will receive a notification email at day 45 of inactivity. Upon second consecutive auto-cancellation, no additional notice will be provided.

4.2 Paid Tier Billing

  • Subscription Model: Monthly recurring subscription
  • Billing Date: Subscription renews on the same date each month as your signup anniversary date
  • Auto-Renewal: Your subscription will automatically renew each month unless cancelled by you in accordance with Section 5
  • Billing Continuation: Your subscription will continue to be billed monthly regardless of inactivity. At day 50 of inactivity, you will receive an informational email noting your inactive status while your subscription remains active. You will continue to be charged unless you cancel your subscription or we terminate it for violations of the Acceptable Use Policy.

4.3 Accepted Payment Methods

We accept payment via credit card and other methods supported by our payment processor. Currently, we use or may use Stripe, PayPal, Square, or similar providers to process payments securely. Your payment information is processed securely by our payment processor in compliance with their terms of service.

4.4 Payment Processor Terms

Payment processing is handled by our payment processor (Stripe, PayPal, Square, or similar). We retain the right to issue refunds, credits, or pro-rata adjustments at our discretion in accordance with Section 5 of these Terms.

4.5 Billing Disputes

All charges are non-refundable except as expressly provided in Section 5 (Refunds for Paid Tier Cancellation). If you dispute a charge, you must contact us within thirty (30) days of the charge appearing on your account. We will investigate and resolve legitimate disputes fairly.

5. CANCELLATION & DATA HANDLING

5.1 Free Tier Cancellation

Auto-Cancellation: Your free tier account will be automatically cancelled after fifty (50) consecutive days of no login or system activity. A courtesy notification email will be sent at day 45.

Data Provision: Upon automatic cancellation, we will automatically provide you with a complete export of your account data (including all CRM records, customer information, and associated business data) within five (5) business days. No request is required—data export will be sent proactively to the email address associated with your account.

Data Retention & Account Recovery: Your data will be retained in a recoverable state for thirty (30) days following cancellation. To recover your account within this thirty (30) day period, you must contact our support team at support@paxerp.com and request account reactivation. Upon verification of your identity and ownership of the email address associated with your account, we will reactivate your account and restore all data within one (1) business day. You may also request permanent deletion of your data at any time during the retention period. After thirty (30) days, your account and all associated data will be permanently deleted and cannot be recovered.

5.2 Paid Tier Cancellation

Termination Events: Your paid tier account will only be cancelled by us in the following circumstances:

  • Violation of the Acceptable Use Policy (Section 6)
  • Other material breach of these Terms and Conditions
  • At your request, processed through your account settings

Notice Requirement: Except for immediate termination due to severe violations (fraud, unauthorized access, illegal activity), we will provide ten (10) days' written notice via email before account cancellation. During the notice period, we may limit your access to the Service.

Refunds: If your account is cancelled mid-cycle due to a violation or our decision (not your request), you are eligible for a pro-rata refund of the unused portion of your billing period. The refund will be calculated from the cancellation date through the end of the billing month and will be credited to your original payment method within 5-7 business days.

Your Cancellation: You may cancel your paid subscription at any time through your account settings. Cancellation is effective immediately; billing will cease, and no pro-rata refund is provided.

Data Provision: Upon cancellation (whether initiated by you or by PAX ERP), we will automatically provide you with a complete export of your account data within five (5) business days. This includes all CRM records, ERP data, customer information, financial records, and any other business data associated with your account. No request is required—the data export will be sent proactively to the email address associated with your account.

To recover your account and restore all data within this thirty (30) day period, you must contact our support team at support@paxerp.com and request account reactivation. • Issuing a warning
  • Limiting or suspending your account

We exercise sole discretion in determining whether conduct violates this policy and the appropriate enforcement response. Generally, minor violations may result in warnings, while serious violations (fraud, hacking attempts, illegal activity) may result in immediate account termination without notice.

6.3 Cooperation with Law Enforcement

We may disclose your account information and activity logs to law enforcement, regulatory agencies, or other third parties when required by law or when we believe in good faith that such disclosure is necessary to protect our rights or the safety of others.

7. LIMITATION OF LIABILITY & WARRANTY DISCLAIMERS

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. USE OF THE SERVICE IS AT YOUR SOLE RISK.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.
  • For paid tier users, our total liability for any claim arising from the Service is limited to the amount you paid us in the twelve (12) months preceding the claim.
  • For free tier users, our total liability is zero dollars ($0), as no payment was made.

Exceptions: This limitation of liability does not apply to claims arising from our gross negligence, fraud, or willful misconduct. This limitation also does not limit our liability for personal injury claims to the extent such liability cannot be limited by law.

7.3 User Assumption of Risk

You assume all risks associated with your use of the Service. You acknowledge that data loss, service interruption, and security issues may occur despite reasonable precautions.

7.4 Service Availability

PAX ERP aims to maintain reliable and consistent service. However, we do not guarantee any specific uptime percentage or Service Level Agreement (SLA). Service interruptions, scheduled maintenance, and technical issues may occur, and you acknowledge these inherent risks of cloud-based services.

For our liability framework governing service unavailability and the remedies available to you, see Section 7.2 (Limitation of Liability) and Section 7.3 (User Assumption of Risk).

8. ANALYTICS & TRACKING

We collect and use analytics data to improve the Service. This includes event tracking, click tracking, dwell time, session information, and location data (limited to city-level information). We use Google Analytics and Google Search Console to monitor and analyze user behavior and service performance.

We do not collect personal identifiable information beyond what you provide during registration (name, email).

No Personal Data Sharing: We do not sell, share, or disclose your personal information to third parties, except as required by law or as described in our Privacy Policy. Google Analytics and Google Search Console comply with applicable privacy laws and do not resell your data for marketing purposes.

For complete details on data collection, use, retention, and our analytics tools, please review our Privacy Policy.

9. INTELLECTUAL PROPERTY & USER DATA OWNERSHIP

9.1 PAX ERP Intellectual Property

All content, features, and functionality of the Service (including but not limited to text, graphics, logos, and software) are the exclusive property of PAX ERP or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal or business purposes. You may not reproduce, modify, distribute, or otherwise exploit the Service without prior written permission.

9.2 Your Data Ownership

All data you enter into PAX ERP—including CRM records, customer information, inventory data, financial records, production planning details, and any other business data—belongs entirely to you.

We do not own, claim rights to, or resell any of your business data. You own all data you provide to PAX ERP. PAX ERP manages your data—maintaining, backing up, and providing recovery capabilities—but does not own or claim any rights to your business data. You retain ownership; we provide stewardship of its storage and accessibility. We use your data solely to provide the Service and in accordance with our Privacy Policy. Upon account cancellation, your data will be provided to you within five (5) business days, and you retain the right to export your data within the 30-day recovery window before permanent deletion.

10. THIRD-PARTY SERVICES

The Service may integrate with third-party payment processors (Stripe, PayPal, Square, or similar), analytics providers, or other service providers. Your use of these services is governed by their terms of service. We are not responsible for third-party conduct or policies.

11. MODIFICATION OF TERMS

We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated via email or a prominent notice on the website. Your continued use of the Service after modifications constitutes acceptance of the modified terms.

12. TERMINATION & SUSPENSION

We reserve the right to suspend or terminate your account at any time for violations of these terms, applicable laws, or other conduct we deem inappropriate. Termination may occur with or without notice, depending on the severity of the violation.

Upon termination, your right to use the Service ceases immediately. Data retention and recovery provisions in Section 5 remain applicable.

You agree to indemnify and hold harmless PAX ERP, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:

  • Your violation of applicable laws
  • Your use of the Service
  • Content you provide or generate

13.2 PAX ERP Indemnification

PAX ERP agrees to indemnify, defend, and hold harmless you from any third-party claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • PAX ERP's violation of these Terms and Conditions
  • PAX ERP's infringement of third-party intellectual property rights
  • PAX ERP's violation of applicable law

provided you notify PAX ERP promptly of the claim and allow PAX ERP to control the defense.

14. FORCE MAJEURE

PAX ERP shall not be held liable for failure to perform its obligations under these Terms due to causes beyond reasonable control, including but not limited to natural disasters, war, government action, infrastructure failures, cyberattacks, or other unforeseen circumstances. We will make reasonable efforts to notify users of extended service unavailability and will consider appropriate remedies on a case-by-case basis.

15. GOVERNING LAW & DISPUTE RESOLUTION

These Terms and Conditions are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Dispute Resolution: By using this Service, you irrevocably agree that all disputes, claims, causes of action, or controversies arising from or relating to these Terms and Conditions, your use of the Service, your account, or our relationship shall be resolved exclusively in the state and federal courts located where PAX ERP's principal place of business is located. You irrevocably consent to personal jurisdiction and venue in such courts and waive any objection based on inconvenient forum. This exclusive jurisdiction provision is a material term of this agreement—your continued use of the Service constitutes acceptance of this exclusive forum requirement. If you do not consent to exclusive jurisdiction in PAX ERP's home courts, you may not use this Service. PAX ERP retains the right to seek equitable relief (including injunctive relief) in any court of competent jurisdiction.

16. SEVERABILITY

If any provision of these Terms and Conditions is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
